Terms of Service

1. The Service

PraiseEngine provides tools to collect, moderate, and publish customer reviews, including AI-guided interviews, manual review submission, embeddable widgets, and public review profiles. Features may change over time as we improve the product.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. Provide accurate registration information and notify us promptly of unauthorized access.

3. Subscriptions and billing

Paid plans, free trials, and billing terms are described on our pricing page. By subscribing, you authorize Salestrics Inc. to charge applicable fees. Fees are non-refundable except where required by law or explicitly stated otherwise. We may change pricing with reasonable notice.

4. Customer content and reviews

You and your end customers may submit content through the Service, including review responses, testimonials, names, and related information ("Customer Content"). You represent that you have the rights and permissions needed to collect, use, and publish Customer Content through PraiseEngine.

You retain ownership of Customer Content. You grant Salestrics Inc. a limited license to host, process, display, and distribute Customer Content solely to operate and improve the Service.

5. AI features

PraiseEngine may use artificial intelligence to conduct interviews, draft review text from customer responses, and assist with formatting. AI outputs are generated from customer-provided information and are not guaranteed to be error-free. Customers may approve or revise AI-assisted drafts before submission. You are responsible for reviewing moderated content before publication.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or misleading purposes
• Publish fake reviews, incentivized reviews that violate applicable law, or spam
• Attempt to bypass moderation, rate limits, or security controls
• Reverse engineer, scrape, or abuse the Service in ways that harm other users
• Infringe intellectual property, privacy, or publicity rights of others

We may suspend or terminate accounts that violate these rules or pose risk to the Service or other users.

7. Public review profiles and embeds

When you publish reviews through PraiseEngine widgets or public profiles, that content may be visible on the internet and indexed by search engines. You control what you approve for publication, but you are responsible for compliance with advertising, testimonial, and consumer protection laws in your jurisdiction.

8. Intellectual property

PraiseEngine, including its software, branding, and documentation, is owned by Salestrics Inc. and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to use the Service as intended.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REVIEWS WILL IMPROVE BUSINESS RESULTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALESTRICS INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Salestrics Inc. from claims arising out of your use of the Service, your Customer Content, your published reviews, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or if we discontinue the Service. Sections that by their nature should survive termination will continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the United States and the State of Tennessee, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Tennessee, unless otherwise required by applicable law.
